Terms of Service

Welcome to Speech! These Terms of Service ("Terms") govern your use of the Speech mobile application ("App") operated by Logistr ("we," "our," or "us").

By downloading, installing, or using Speech, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the App.

1. Eligibility

To use Speech, you must:

• Be at least 13 years of age (or the minimum age in your jurisdiction)
• Have the legal capacity to enter into a binding agreement
• Not be prohibited from using the App under applicable laws

If you are under 18, you represent that your parent or legal guardian has reviewed and agreed to these Terms.

2. Account Registration

2.1 Account Creation

To access certain features, you must create an account using Google Sign-In, Apple Sign-In, or email registration. You agree to:

• Provide accurate and complete information
• Keep your account credentials secure
• Notify us immediately of any unauthorized access
• Not share your account with others

2.2 Account Responsibility

You are responsible for all activities that occur under your account. We are not liable for any loss or damage from unauthorized use of your account.

3. Description of Service

Speech is an AI-powered speech analysis application that:

• Records and transcribes your speeches
• Analyzes speaking pace, clarity, filler words, and structure
• Provides feedback and improvement suggestions
• Tracks your progress over time

3.1 Free Tier

The free tier includes:

• Unlimited short speeches (up to 1 minute)
• 3 extended speeches (up to 2 minutes) per calendar month
• Basic speech genres
• Cloud AI analysis

3.2 Pro Tier

The Pro subscription includes:

• 100 recordings per month (up to 10 minutes each)
• All speech genres
• Custom AI provider support
• Unlimited speech history
• Export and sharing features

4. Subscriptions and Payments

4.1 Pricing

Prices may vary by region and are subject to change with notice.

4.2 Payment Processing

Payments are processed securely by Stripe. By subscribing, you authorize us to charge the payment method on file. You agree to Stripe's Terms of Service.

4.3 Auto-Renewal

Subscriptions automatically renew at the end of each billing period unless canceled at least 24 hours before the renewal date. You can cancel anytime through:

• The App: Settings → Subscription → Manage Subscription
• The Stripe Customer Portal

4.4 Refunds

Subscription fees are generally non-refundable. However:

• Free Trial: You won't be charged if you cancel during the trial period
• Technical Issues: We may offer refunds for documented technical problems that prevent use
• App Store Purchases: Refunds for purchases made through Apple App Store or Google Play must be requested through those platforms

4.5 Price Changes

We may change subscription prices with at least 30 days' notice. Price changes will apply to the next billing cycle after notice is given.

5. User Content

5.1 Ownership

You retain all ownership rights to your speech recordings and content. By using Speech, you grant us a limited, non-exclusive, royalty-free license to:

• Process your recordings to provide the analysis service
• Store your content as necessary for the service
• Create anonymized, aggregated data for service improvement (without identifying you)

This license ends when you delete your content or account.

5.2 Content Restrictions

You agree not to record or upload content that:

• Violates any law or infringes third-party rights
• Is defamatory, obscene, or offensive
• Contains malware or harmful code
• Impersonates another person
• Promotes violence, discrimination, or illegal activities

5.3 Content Removal

We reserve the right to remove content that violates these Terms without notice.

6. Intellectual Property

6.1 Our IP

Speech and its original content (excluding user content), features, and functionality are owned by Logistr and protected by copyright, trademark, and other intellectual property laws. You may not:

• Copy, modify, or distribute the App
• Reverse engineer or decompile the App
• Use our trademarks without permission
• Scrape or automatically collect data from the App

6.2 Feedback

If you provide suggestions or feedback about Speech, you grant us the right to use it without compensation or attribution.

7. Prohibited Uses

You agree not to:

• Use the App for any illegal purpose
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the App's operation
• Use automated means to access the App (bots, scrapers)
• Circumvent usage limits or access restrictions
• Share your account credentials with others
• Resell or redistribute the service
• Use the App to develop a competing product

8. Third-Party Services

Speech integrates with third-party services including:

• OpenAI: For speech transcription and AI analysis
• Firebase: For authentication and data storage
• Stripe: For payment processing

Your use of these services is subject to their respective terms and privacy policies. We are not responsible for third-party service availability or performance.

9. Disclaimers

9.1 No Warranty

To the maximum extent permitted by law, we disclaim all warranties, express or implied, including:

• Merchantability and fitness for a particular purpose
• Accuracy, reliability, or completeness of AI analysis
• Uninterrupted or error-free service
• Security of your data (though we implement reasonable safeguards)

9.2 AI Limitations

Speech analysis is provided by AI and should be considered as guidance, not professional advice. The AI may:

• Make errors in transcription or analysis
• Provide subjective feedback that may not be universally applicable
• Not capture all nuances of human speech

For professional speaking coaching, consult a qualified human coach.

10. Limitation of Liability

To the maximum extent permitted by law:

• We are not liable for any indirect, incidental, special, consequential, or punitive damages
• Our total liability for any claim shall not exceed the amount you paid us in the 12 months before the claim arose, or $100, whichever is greater
• These limitations apply regardless of the legal theory (contract, tort, negligence, etc.)

Some jurisdictions do not allow these limitations, so they may not apply to you.

11. Indemnification

You agree to indemnify and hold harmless Logistr, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including attorney fees) arising from:

• Your use of the App
• Your violation of these Terms
• Your violation of any third-party rights
• Your user content

12. Termination

12.1 By You

You may stop using Speech at any time. To delete your account, go to Settings → Account → Delete Account.

12.2 By Us

We may suspend or terminate your access if you:

• Violate these Terms
• Engage in fraudulent or illegal activity
• Abuse the service or other users

We will provide notice when possible, but may act immediately for serious violations.

12.3 Effect of Termination

Upon termination:

• Your right to use the App immediately ceases
• We may delete your data (subject to our Privacy Policy)
• Provisions that should survive (liability, indemnification, governing law) will remain in effect

13. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by:

• Posting the updated Terms with a new "Last Updated" date
• Sending an in-app notification for significant changes

Continued use of Speech after changes constitutes acceptance of the new Terms.

14. Governing Law and Disputes

14.1 Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

14.2 Dispute Resolution

Before filing a legal claim, you agree to try to resolve the dispute informally by contacting us at legal@logistr.ai. We will attempt to resolve the dispute within 30 days.

14.3 Arbitration

Any disputes not resolved informally shall be resolved through binding arbitration under the rules of the American Arbitration Association. You agree to arbitrate on an individual basis and waive any right to participate in class actions.

14.4 Exceptions

Either party may seek injunctive relief in court for intellectual property violations or other urgent matters.

15. General Provisions

15.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Logistr regarding Speech.

15.2 Severability

If any provision is found unenforceable, the remaining provisions will continue in effect.

15.3 Waiver

Our failure to enforce any right or provision does not waive our right to do so in the future.

15.4 Assignment

You may not assign these Terms without our consent. We may assign our rights and obligations to any affiliate or successor.
